1. Scope of Services
The Company provides the following services depending on the plan selected:
CRM and workflow setup inside GoHighLevel (GHL)
AI automation, AI chat, and AI voice receptionist setup
SMS and email follow-up sequences
Calendar and booking automation
Review generation tools
Lead management tools
Website design (optional add-on)
Ongoing maintenance, updates, and support
A detailed description of the selected service plan (Basic or Elite) is included in the proposal or invoice and is incorporated into this Agreement.
2. Client Responsibilities
To complete setup and maintain system performance, the Client agrees to:
Provide accurate business information during onboarding
Provide access to necessary accounts (GHL, domain registrar, phone numbers, etc.)
Review and approve configurations in a timely manner
Comply with SMS and telecommunication regulations (TCPA, carrier restrictions)
Maintain ownership of messaging content they provide
Failure to provide required information may delay onboarding. The Company is not responsible for delays caused by missing information.
3. Payments & Billing
3.1 Setup Fees
Setup fees are one-time, non-refundable, and due before work begins.
3.2 Monthly Service Fees
Monthly service fees are billed on a recurring basis and cover:
Hosting of automation systems
CRM usage
Phone/SMS infrastructure
AI agent usage
Support & monthly updates
3.3 Late Payments
If payment is more than 7 days late:
Access to automation tools may be paused
AI voice/SMS systems may be temporarily disabled
3.4 Refund Policy
Because the Company delivers digital configuration, labor, and AI system development, all payments are final and non-refundable.
4. SMS, AI & Phone Compliance
The Client is solely responsible for:
Compliance with local, state, and federal laws (including TCPA)
Content of outbound messages (SMS, email, voicemail)
Ensuring customers have opted-in to receive messages
Though we assist with best-practices, final compliance responsibility remains with the Client.
5. AI System Limitations
AI systems may occasionally:
Provide incorrect or incomplete responses
Misinterpret user inputs
Require periodic retraining or adjustments
The Client acknowledges that:
AI systems cannot guarantee perfect accuracy
AI is a tool for automation, not a substitute for legal, medical, or professional advice
The Company is not liable for damages caused by AI misinterpretation
We will make reasonable efforts to adjust and improve system performance upon request.
6. Website & SEO Disclaimers (If Applicable)
If a website or SEO services are included:
SEO results are not guaranteed
Search rankings may fluctuate
Third-party updates (Google algorithm changes, hosting issues) are outside our control
The Client is responsible for domain costs, hosting fees (if not using GHL), and any third-party plugins.
7. Third-Party Services
You acknowledge that:
Our services run on platforms such as GoHighLevel, Twilio, OpenAI, Stripe, and others
Outages or downtime on these third-party platforms are outside our control
Usage fees (SMS, calls, emails) may incur passthrough costs if applicable
The Company is not liable for downtime, fees, or errors originating from third-party platforms.
8. Term, Cancellation & Termination
8.1 Term
This Agreement begins when payment is made and continues on a month-to-month basis unless otherwise stated.
8.2 Cancellation
Client may cancel at any time with 30 days written notice.
Because of prepaid software fees and setup workloads, no partial-month refunds are issued.
8.3 Termination by Company
We reserve the right to terminate service immediately if:
Payments are not received
Client violates compliance rules (e.g., SMS spam)
Client behaves abusively toward staff or misuses the system
Upon termination, access to all automations, numbers, and systems may be revoked
9. Intellectual Property
9.1 Company IP
All automation frameworks, workflows, AI prompts, scripts, funnels, and templates created by the Company remain our intellectual property, even after delivery.
Client receives usage rights, not ownership rights.
9.2 Client IP
The Client retains ownership of:
Their business data
Branding
Customer lists
All content they provide
10. Limitation of Liability
To the fullest extent permitted by law:
The Company is not liable for indirect, incidental, or consequential damages
The Company is not liable for lost revenue caused by system downtime, missed messages, AI responses, or third-party platform failures
Maximum liability is limited to the amount paid by the Client in the previous 30 days
This is standard protection for automation agencies.
11. Confidentiality
Both parties agree to keep non-public business information confidential and not disclose it to unauthorized third parties.
12. Modifications
The Company reserves the right to update these Terms & Conditions at any time. Continued use of services constitutes acceptance of the updated terms.
13. Governing Law
This Agreement shall be governed by the laws of the state of Idaho.
